Terms of Service

These Terms of Service ("Terms") are an agreement between you ("you" or "your") and TheraSaaS LLC ("TheraSaaS," "we," "us," or "our"). They govern the TheraSaaS Premium Website Build and the hosting and support that come with it (together, the "Service"). Your TheraSaaS application and CRM subscription is a separate product with its own terms; these Terms cover the website we build and host for you.

1. Agreement to these Terms

By enrolling in the Premium Website Build, submitting content for your site, or using a website we build or host for you, you agree to these Terms. If you are accepting on behalf of a practice or other organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, please do not use the Service.

These Terms work alongside, and are in addition to, the main TheraSaaS Terms of Use and TheraSaaS Privacy Policy, which govern your broader use of TheraSaaS.com and our services. If there is a direct conflict on a matter specific to your website build or hosting, these Terms control for that matter.

2. Eligibility

Your professional website build (a $10,000 value) is included free with your TheraSaaS Premium Annual plan, or when you upgrade to Premium Annual. One website build is included per Premium Annual subscription. The free build is not available on monthly or lower-tier plans. You must be at least 18 years old and have the authority to enter into these Terms on behalf of your practice.

3. Your website build

We build a fast, mobile-first, SEO and AI-search-ready website with the pages your practice needs, which typically include a home page, service pages, a team page, individual clinician pages, a blog, a scheduling page, and a rates and insurance page, along with the standard privacy, terms, and accessibility pages and a custom 404 page. Your site is built on proven, conversion-tested templates and connected directly to your TheraSaaS forms, calendar, and chat. Where possible, we rebuild your existing content onto your new site to speed up launch. We bound the initial launch and grow your site over time through updates; there is no hard cap on what your site can become.

4. What you provide

We build your copy from proven templates or rebuild your existing content, then refine it with you. For clinician pages, we ask you to provide each clinician's photo and bio details, such as education, licensure, certifications, clinical focus, and the conditions they treat. All other images are provided by us using licensed stock and AI-assisted resources. You are responsible for the content you submit, as described in Section 14.

5. Design and updates

We refine the design with you before launch until you are happy with it. After launch, updates and changes to your site are unlimited and included, handled for you through your support tickets, typically within 24 hours. To add a clinician, you simply send us their name, photo, and details.

6. Hosting and acceptable use

Hosting is included at no extra charge for normal private-practice website use, including your pages, blog, images, and embedded TheraSaaS forms, calendar, and videos. Videos are served through your TheraSaaS platform or embedded from services such as YouTube or Vimeo so your site stays fast, and are not served directly from your site files.

You agree not to use your website as a file-storage or file-download service, or for any unlawful, harmful, or abusive purpose. The vast majority of practice sites never approach any usage limit. If your site ever experiences unusually high traffic or resource use, we will reach out and discuss options together before anything changes. There are no surprise bills.

7. Support and updates

Ongoing support and updates are included together with hosting at no extra charge. Submit a support ticket and we will make the update for you, typically within 24 hours. There is no metering and no per-change fee for normal updates to your site.

8. Your subscription and term

Your website, hosting, and support are included for as long as you remain a Premium Annual member. There is no separate website contract and no multi-year commitment. The annual term is the commitment. At renewal, your site stays live with no disruption in service. Billing, renewals, and any refunds for your TheraSaaS subscription are governed by the main TheraSaaS Terms of Use.

9. Existing websites

If you already have a website, we can rebuild your content onto a new TheraSaaS site. Once it is ready, you point your domain to the new site and may cancel your prior hosting. If you prefer to keep your existing website, you may continue using it alongside your TheraSaaS subscription. However, our hosting, support, and updates apply only to websites we build. We do not make changes to websites outside the TheraSaaS hosting and support program, and our Website Care support program is not available for websites not built by TheraSaaS.

10. Two separate subscriptions

Your TheraSaaS application and CRM subscription and your website hosting are two separate subscriptions. Changing your CRM plan does not by itself take down your website, and moving your website does not cancel your CRM. Your TheraSaaS features, such as forms, calendar, and chat, continue to work on your site as long as you maintain an active TheraSaaS subscription and the embed codes remain in place.

11. If you downgrade

If you move below Premium Annual but remain a TheraSaaS subscriber, you may keep your website through our Website Care plan for $97 per month or $970 per year (two months free). Website Care includes hosting and your done-for-you updates within 24 hours, and runs alongside your subscription. The price is the same regardless of which lower tier you hold or your billing cycle. Website Care retains a site we have already built; it is not a path to receive a new build on a lower-tier plan. If you choose not to continue Website Care, your site comes down and we will hand over your files, and you keep your domain and content.

12. If you cancel

If you cancel, your website remains live through the end of your paid period and is then taken down. Your domain and your content are always yours.

13. Your domain

Your domain is always yours and remains fully in your control, from day one. We provide the DNS records and you enter them; we never take ownership of your domain or hold the keys to it. If you ever leave, you may point your domain wherever you wish, and we will provide any records you need.

14. Your content and file export

The content you provide, such as your copy, photos, and logos, remains yours. After your paid period ends, you may request a free, one-time export of your raw website files (HTML, CSS, and images), provided as-is, to host wherever you like.

The export does not include our private code repository, commit history, or our reusable templates and tooling. Once exported, the files are provided without support or warranty; we do not debug, host, or help you stand them up elsewhere. Your TheraSaaS features (forms, calendar, chat, and videos) continue to work only as long as you keep your TheraSaaS subscription and re-add your embed codes on the new site. If you cancel your TheraSaaS subscription entirely, those features will stop until you reconnect them on another site.

By submitting content to us, you confirm that you own it or are licensed to use it, and you are responsible for ensuring you hold the proper rights. You grant us the limited license needed to build, host, maintain, and display your website, and to use screenshots or descriptions of the finished site as a portfolio example, unless you ask us in writing not to.

15. Intellectual property

As between you and us, you own your domain, the content you provide, and the exported raw site files described in Section 14. We retain all rights in our reusable templates, design frameworks, code, tooling, processes, and our private code repository and commit history, none of which are transferred to you. The TheraSaaS name, logo, and brand remain our property. Nothing in these Terms grants you a license to our templates or tooling beyond the use of your own hosted website while the Service is active.

16. SEO

Every site launches with a strong SEO foundation, including technical SEO, on-page optimization, local SEO, fast page speed, preserved URLs, and proper redirects. Ongoing SEO campaigns, link building, and ranking reports are not included. Search rankings and traffic depend on many factors outside our control, and we do not guarantee any specific ranking, traffic, or business result.

17. Accessibility

Your site is built with accessibility best practices in mind, including descriptive alt text, readable color contrast, keyboard navigation, and clean semantic structure. We follow best practices rather than certifying formal WCAG or ADA compliance.

18. Multiple brands or locations

One free build is included per Premium Annual subscription. Multiple locations under the same brand are handled as location pages on a single site. A genuinely separate brand or business requires its own Premium Annual subscription.

19. Data storage in the United States

Your website and any data collected through it, including submissions through embedded TheraSaaS forms, are hosted on servers located in the United States and are subject to United States federal and state law. You, not TheraSaaS, are the party responsible for how your website collects and handles your clients' information and for your own compliance with the laws that apply to your practice, including healthcare privacy and cross-border data rules. If you or your clients are located outside the United States (for example, in Canada), you are responsible for determining whether storing and processing data in the United States meets your legal obligations, and for obtaining any consents your clients need. We do not provide legal or compliance advice. This Section works together with the international-use and Canadian-user provisions of the main TheraSaaS Terms of Use.

20. Disclaimers

We provide the Service with professional care and skill. Except as expressly stated in these Terms, the Service and your website are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service or your website will be uninterrupted, error-free, or free from all security risk, or that any particular marketing, SEO, or business outcome will be achieved. If applicable law requires any warranty that cannot be disclaimed, that warranty is limited to ninety (90) days from the date of first use.

21. Limitation of liability

To the maximum extent permitted by law, TheraSaaS LLC and its owners, employees, contractors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service or these Terms, whether based on contract, tort (including negligence), or any other theory, and even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of the total amounts you paid to us for the Service that gives rise to the claim during the twelve (12) months before the event giving rise to the claim, or one hundred U.S. dollars ($100). Your sole and exclusive remedy for dissatisfaction with the Service is to stop using it. Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

22. Indemnification

You agree to indemnify, defend, and hold harmless TheraSaaS LLC and its owners, employees, and contractors from any claims, damages, liabilities, and reasonable expenses (including attorneys' fees) arising out of the content you submit, your use of the Service or your website, your violation of these Terms, or your violation of any law or the rights of a third party. This includes, without limitation, any claims arising from your compliance or non-compliance with laws applicable in jurisdictions outside the United States, including Canadian federal and provincial privacy laws.

23. Dispute resolution and governing law

These Terms, and any dispute arising out of or relating to them or the Service, whether in contract, tort, or statute, are governed by the laws of the State of Illinois, United States, without regard to its conflict-of-laws rules.

Any action or proceeding arising out of or relating to these Terms or the Service must be brought only in a state or federal court located in the State of Illinois, County of DuPage, and you consent to personal jurisdiction and venue in those courts and waive any objection of inconvenient forum. At our sole discretion, we may instead require any dispute, claim, or controversy arising out of or relating to these Terms to be resolved by final and binding arbitration before a single arbitrator under the rules of the American Arbitration Association in Illinois, and judgment on the award may be entered in any court of competent jurisdiction.

All disputes will proceed on an individual basis only. To the fullest extent permitted by law, you and we each waive the right to a trial by jury and the right to bring or participate in any class, collective, consolidated, or representative action. If a court decides that this class-action waiver is unenforceable as to a particular claim, that claim (and only that claim) will be severed and may proceed in court.

Any cause of action or claim you may have arising out of or relating to these Terms or the Service must be commenced within one (1) year after the cause of action arises; otherwise it is permanently barred.

24. Miscellaneous

If any provision of these Terms is found invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full force. Our failure to enforce any provision is not a waiver of our right to do so later. These Terms, together with the documents they reference (including the main TheraSaaS Terms of Use and Privacy Policy), are the entire agreement between you and us regarding the Service and supersede any prior understandings on that subject. You may not assign or transfer these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates any agency, partnership, or joint venture between you and us. Any provisions that by their nature should survive termination, including the intellectual property, disclaimer, limitation of liability, indemnification, and dispute provisions, will survive.

25. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page and post the updated Terms here. Your continued use of the Service after changes take effect means you accept the updated Terms.
